The name of this organization shall be the Medical Group Management Association of Canada.
The purpose of the Medical Group Management Association of Canada shall be to advance the profession of Medical Group Practice Management and the industry of Health Care delivery carried on through various forms of medical group practice and to co-operate with the Allied Health organizations in improving health care delivery to the general public.
The term “Clinic” as used herein shall mean an organized medical group of three (3) or more licensed Doctors of Medicine, or as the executive deems appropriate, with common facilities, actively engaged in the practice of medicine and which employs a person or persons in the active supervision of its business affairs.
A. There shall be five (5) classifications of Membership in this Association, known and designated as:
Active Member: An Administrative Head or other member of the Administrative staff associated with a Medical Clinic as defined in Article III herein. This Member shall retain voting privileges in MGMA(C).
Associated Member: An Administrative Head or other member of the administrative staff that shares in the purpose of the National Association as outlined in Article II. This member shall hold no voting privileges in MGMA(C), is not eligible to hold office in the Association, and shall be subject to the same obligations as Active Members, save and except the requirements of regular attendance at the Annual Meeting.
Active Honorary Member: An Honorary Member who returns to full employment as defined in Article III will continue to hold the title of Honorary Member, but will be subject to full registration fees for the Annual Conference.
Honorary Member: An Honorary Membership may be conferred upon any Active Member who has become disassociated from Clinical Administration. Such an Honorary Membership shall be conferred only if, in the judgment of the Association, such Member has rendered outstanding service to this Association. This appointment shall be for life, save and except being guilty of an act or acts of gross moral turpitude.
Life Membership: A Life Membership may be granted to an active member in good standing who becomes permanently disassociated from clinic administration, and who has been a Member of the Association for at least five (5) years and in active clinical management for at least fifteen (15) years, or one who retires because of age or disability and who has been a Member of the Association for at least five (5) years, and in active clinic management for at least ten (10) years.
B. Application for membership in this Association, excepting Honorary and Life Membership, shall be in such a manner and form as shall be prescribed from time to time by the Association, and shall be submitted for approval to the Committee designated by the Association. To qualify as a voting Member at the Annual Meeting of the Association, the application of a new Member must be approved at least thirty (30) days prior to the opening date of such meeting.
C. Nomination for Honorary Membership in this Association shall be submitted in writing to the Secretary, and may be granted if the governing body of the Association so recommends, but only if such recommendation is approved at a regular Annual Meeting of the Association by a majority of the Active Members present and voting.
D. Application or recommendation for Life Membership shall be submitted in writing to the Secretary and may be granted at the discretion of the government body of the Association.
E. All members shall have the same rights and privileges as Active Members and Associate Members save and except the right to vote and to hold office in the Association, and shall be subject to the same obligations as Active Members, save and except the requirements of regular attendance at the Annual Meeting.
Amendments to this Constitution shall be submitted to the President in writing at least ninety (90) days prior to the Annual Meeting unless a waiver is granted by the unanimous vote of the Active Members present. To be effective at once, such amendment must be passed by a unanimous vote of the Active Members present and voting. However, final consideration of such proposed amendment may be deferred until the next Annual Meeting, at which time a three-quarters majority vote of the Active Members present and voting shall be sufficient for adoption.
This Association is purely educational and shall not engage in any business activity whatsoever, and pecuniary gain shall not inure to the benefit of any Member. All dues received shall be exclusively for the purpose as named herein.
The property of the Association shall never inure to the benefit of, or be distributed to, any Member of the Association. In the event of the dissolution of the Association, any property remaining after the payment of debts and liabilities of the Association shall be transferred to a fund or foundation organized and operated exclusively for Medical Research purposes in Canada. Selection of such organization shall be subject to the approval of a majority of the Active Membership of the Association.
